Alumni Association University School By-Laws (As Ammended)

AAUS By Laws  (revised June 24, 2017)

 

Article 1.  Name

This organization, founded November 13, 1988, shall be known as The Alumni Association of University School.

 

Article 2.  Purpose

To celebrate and promote the University School experience.

 

Article 3.  Membership
Membership is open to all who have ever attended University School, their parents, faculty members, and any other interested parties approved by the Executive Board.

 

Article 4.  Officers

The officers shall be President, Vice-President, Membership Secretary, Recording Secretary, and Treasurer.  Officers shall be elected at the Annual Meeting and hold office for a one-year term.  The President and Vice-President cannot simultaneously serve as any other officer of the organization.


The President shall preside at all general and executive board meetings.

 

The President shall appoint all committee chairpersons and members. The President shall be an ex-officio member of all committees.

 

The Vice-President, in the absence of the President, shall perform the duties of the President, and shall discharge such other duties as may be required.


The Membership Secretary shall maintain an accurate record of names, contact information, and membership status of the members of AAUS.  With the aid of the membership, the Membership Secretary shall also endeavor to develop and maintain a comprehensive list of all those who attended or taught at University School, with contact information where possible.


The Recording Secretary shall keep accurate minutes of all meetings of the association and of the Executive Board, and perform such other duties as may be delegated by the President.


The Treasurer shall receive all monies of the organization, and shall keep an accurate record of all receipts and expenditures. The Treasurer shall present a statement of account of the organization along with a summary of income and expenses for the preceding year at each Annual Meeting.

 
Article 5.  The Executive Board and Committees

The Executive Board shall consist of the five elected officers.  All other committees shall be established ad-hoc by the President and/or the Executive Board.

 

Meetings of the Executive Board or any committee may be held in person or electronically at the pleasure of the committee chair.

 
Article 6.  Dues

For those who receive a hard copy of the Newsletters via US mail, dues are $15.00 per year or $105 for a Lifetime Membership.  For members who prefer to receive the Newsletters via email, dues are $10 per year or $70 for a Lifetime Membership.  Annual dues for the coming year are payable on October 1st.  Dues may be revised at the discretion of the Executive Board.


Article 7.  Meetings of the Association

There shall be an Annual Meeting of the Association.  The exact date of the Annual Meeting shall be determined by the Executive Board or at the previous Annual Meeting.  Other meetings may be called at the discretion of the Executive Board.


Article 8.  Amendments

These By-Laws may be amended by a two-thirds vote of those present at The Annual Meeting of the Association. The Executive Board shall send written and/or electronic notice of the proposed amendment to members at least 30 days prior to the Meeting.
